“NFOA” Articles of Incorporation


ARTICLE  I.

The name of the corporation is “Nebraska Firearms Owners Association”. This corporation is a public benefit corporation.


ARTICLE II.

The period of the corporation’s existence is perpetual.


ARTICLE III.

This corporation is organized for the following purposes:

To provide a consistent and unified voice for Nebraska firearm owners.
Voicing the opinion of its membership to the Nebraska legislature and other law making bodies within the state, as it pertains to firearms.
Educating individuals with regards to firearms and firearms related issues.



ARTICLE IV.

No part of the assets or donations to this corporation shall be used for the personal benefit of any member, officer or director. Reimbursement or expenses occurred may be made.
This corporation may dissolve and wind up its affairs upon the adoption of a resolution to dissolve and wind up its affairs by the Board of Directors, at a meeting duly called and held, at which a quorum was present, by a vote of the majority of directors in office and according to the plan for the distribution of its assets adopted by this corporation in the same manner.

The assets of this corporation in the process of dissolution shall be applied and distributed as follows:

(A)    All liabilities and obligations of the corporation shall be paid, satisfied and discharged, or adequate provision shall be made therefore.
(B)    Assets held by the corporation upon condition requiring return, which occurs by reason of the dissolution shall be returned in accordance with such requirements.
(C)    The remaining assets shall be transferred or conveyed to one or more domestic or foreign corporations or organizations having substantially similar power and objectives and engaged in similar activities substantially similar to those of this corporation.
(D)    No part of the assets of this corporation shall be distributed to or insure to the benefit of any member, officer or director of this corporation.


The affairs of this corporation shall be governed and administered by a Board of Directors, the number of which and manner of election thereof to be determined from time to time by the bylaws of this corporation.


ARTICLE V.

The private property of any member, officer or director of this corporation shall not be subject to the payment of any corporate obligations.


ARTICLE VI.

Until their successors are elected and qualified, or appointed, pursuant to the bylaws of this corporation, corporate affairs shall be directed by the current Board of Directors.

ARTICLE VII.

This Nebraska Firearms Owners Corporation will have Members.


ARTICLE VIII.

The registered office of the corporation is *******, Syracuse, Nebraska 68446, and the name of its registered agent at such address is Chris M. Zeeb.
